HPS1Source – Terms & Conditions
These Terms & Conditions (“Terms”) constitute a binding agreement between Shivalik Enterprises LLC dba Hps1source (“Hps1source,” “we,” “us,” or “our”) and the customer (“you,” “your”). By placing an order, submitting a repair, or using our services, you agree to be bound by these Terms. Continued purchase of products or services after publication of updated Terms constitutes acceptance of the revised Terms.
1. Payment & Billing
Initial Orders
All new accounts must place their initial order using a credit card. A valid credit card must be maintained on file for all accounts activated after February 2026.
Net 30 & EOM (End of Month) Terms
Available to approved accounts only. Payment must be received within thirty (30) days of the invoice date.
Late Payments
If payment is not received when due, Hps1source may, without notice:
- Suspend shipments, revoke credit terms, or convert the account to credit card–only status
Collections
Customer agrees to pay all costs of collection, including reasonable attorney fees, court costs, and third-party collection agency fees.
2. Returns & Final Sales
Non-Returnable Items
Capacitors, metals (including alloy, solder, and laser wire), special-order items, and custom items are FINAL SALE and non-returnable. No exceptions will be made due to customer ordering errors on these items.
Eligible Returns
All other items may be returned within thirty (30) days of receipt if in unused, resalable, original condition and original packaging. Items not in original packaging or used may be rejected for return or subject to a reconditioning fee.
Return Approval
Hps1source reserves the right to refuse returns that do not meet these conditions. Shipping and handling charges are non-refundable.
3. Repairs & Service
Estimates
Service estimates are provided via text or email and require customer approval prior to work being performed.
Workmanship Warranty
Hps1source provides a one-year warranty on repair workmanship only. This warranty applies solely to the specific repair performed and does not extend to the entire item or unrelated component failures.
Exclusions
Warranty does not cover:
- External or physical damage or normal wear and tear
- Moisture, water, or chemical damage
- Third-party repairs, tampering, or broken warranty seals
4. Shipping & Insurance
Responsibility
Customer is solely responsible for insuring all inbound and outbound service shipments. Hps1source does not provide insurance on shipments.
Carrier Liability
Hps1source is not responsible for carrier delays or packages lost or damaged in transit once tendered to the carrier.
Return Labels
If customer cannot provide a prepaid return shipping label, Hps1source may arrange shipping and 3rd party insurance with all related charges added to the invoice but does not guarantee insurance resolution in case of loss.
Complimentary Shipping
UPS Ground shipping is available on parts and supply orders over $200 and under 5 lbs. within the continental United States. Certain items (including equipment, chemicals, cleaning solutions, and repair returns) are excluded.
Risk of Loss
Title and risk of loss transfer to customer upon tender to carrier.
5. Business-to-Business (B2B) Only
Hps1source is a wholesale distributor exclusively serving the jewelry industry. Purchases must be for business use or resale purposes only.
Customer is responsible for providing a valid State Resale Certificate upon request. If not provided, applicable sales tax may be charged.
Proof of business (EIN, JBT Number, Business Address, or other verification) may be requested by Hps1source at any time. Hps1source reserves the right to refuse service or terminate any account at its sole discretion.
6. Warranties
Products manufactured by Hps1source carry a sixty (60) day limited warranty.
Hps1source does not provide warranties on products manufactured by third parties. All third-party warranties are strictly between customer and manufacturer.
EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH HEREIN, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
7. Chargebacks & Payment Disputes
Customers must contact Hps1source to attempt resolution prior to initiating any chargeback.
For any unauthorized, invalid, meritless chargeback, or bounced check customer agrees to pay:
- The disputed amount
- A $50.00 recovery fee
- Any processing, legal, or collection fees incurred
Hps1source may suspend or terminate accounts for excessive chargebacks or bounced checks.
8. Limitation of Liability
Hps1source shall not be liable for any indirect, incidental, special, or consequential damage, including lost profits or business interruption.
Hps1source’s total liability shall not exceed the amount paid for the specific product or service, giving rise to the claim.
9. Indemnification
Customer agrees to indemnify, defend, and hold harmless Hps1source from any claims, damages, losses, or expenses arising from misuse of products, negligence, or violation of these Terms.
10. Governing Law & Venue
These Terms shall be governed by the laws of the State of Georgia. Any legal action shall be brought exclusively in state or federal courts located in Georgia.
